Thank you for choosing Snyder Performance Engineering (referred to as SPE from here forward) as your source for performance products. Acceptance of the following terms and conditions is required for your company to qualify for and maintain dealer status with SPE.
Evidence of Legitimate Business.
You must provide evidence that you are operating a legitimate business, such as a resale tax certificate and/or a copy of your business registration/license. In addition, you must complete our Dealer Application. Your dealer status is subject to prior approval by SPE staff.
Sales Tax Exemption
SPE is required by law to charge applicable sales tax on all orders to anyone who does not present us with a valid and dealer-related sales tax exemption certificate. To maintain your tax exempt status, you may be required to furnish us as they are renewed.
Sales Requirements
Once approved, an initial buy-in may be required. At this time, no sales quota is required; however, your dealer discount does require at least one purchase every 90 days to maintain an active dealer status. You may be required to resubmit a dealer application and an additional buy-in should your account lapse.
Payments
We do not offer net terms. All purchases must be prepaid by major credit card, Paypal, or wire transfer. Payment to SPE must be made by the dealer directly. Dealers may not pay for goods or services by way of third party, affiliates, their employees, or their customers under any circumstance.
Customer Support
As a dealer it is expected that you support your customer. Any issues with the products, a purchase, complaints, etc. is expected to go through you first. We will not provide customers with status updates, shipment tracking, etc. You are receiving a dealer discount as a way to off-set our time involved with direct to consumer sales. Failure to provide this service to your customers will result in losing your dealer status. We will support you and your customers but expect you to be their main form of communication.
Product Use
You understand and agree that any products sold by SPE which are designated “race only” are solely for competition and/or off-road use limited to racing formally sanctioned by a recognized racing organization. Sales for any other use, including recreational off-road use, may be in violation of local, state, and federal laws. SPE will not ship products restricted by the California Air Resources Board (CARB) into CARB restricted areas under any circumstances. As an authorized dealer, you agree not to ship CARB restricted products into CARB restricted areas.
Minimum Advertised Price (MAP) Policy
SPE maintains a minimum advertised pricing policy in an effort to curb the “race to the bottom”. It is expected that SPE dealers maintain MAP pricing on all SPE products unless prior approval is granted by an SPE staff member.
Indemnification
You agree to defend, hold harmless, and indemnify SPE from and against all suits, claims, losses, costs and expenses, even if such claims are groundless, fraudulent or false, arising out of any actual or alleged injury or death to any person, damage to any property, or any other damage or loss, any fine or penalty, resulting in whole or in part from: (1) any alleged or actual breach of your obligations under these terms and conditions, (2) any design or construction defect in a product supplied to you by SPE, (3) or any breach of local, state, or federal laws or standards.
Confidentiality Agreement
As an SPE dealer, you may gain knowledge of certain confidential information. You and your representatives agree to treat this information with the same degree of care and confidentiality that you use with your own company’s confidential information.
Price Changes
All prices are subject to change without prior notice.
Participation Agreement
Your continued participation in the SPE dealer program means that you continue to acknowledge your understanding and agreement with these terms and conditions. SPE reserves the right to revoke your dealer status for any violation or misrepresentation.
